1. Acceptance of Terms

By accessing or using SimpleInvoice ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and SimpleInvoice ("we", "us", or "our").

2. Service Description

SimpleInvoice is a free, browser-based invoice creation tool that allows you to:

Create and edit professional invoices
Export invoices as PDF documents
Save invoice templates for reuse
Store data locally in your browser

Local-First: All data is stored in your browser's Local Storage. We do not provide cloud storage, synchronization, or backup services. You are solely responsible for backing up your data.

3. License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use SimpleInvoice for personal or business purposes, subject to these Terms.

You may:

Use the Service for creating legitimate business invoices
Export and distribute the invoices you create
Use the Service for both personal and commercial purposes

You may NOT:

Modify, reverse engineer, or create derivative works of the Service
Use the Service for any unlawful purpose or to facilitate fraud
Attempt to disrupt or compromise the Service's functionality
Remove any copyright or proprietary notices from the Service

4. User Responsibilities

As a user of SimpleInvoice, you are responsible for:

Data Accuracy: Ensuring all information you enter is accurate and lawful
Legal Compliance: Ensuring your invoices comply with applicable tax laws, business regulations, and invoicing requirements in your jurisdiction
Data Backups: Regularly backing up your data using the Export feature, as data is stored locally and can be lost
Device Security: Maintaining the security of your device and browser
Tax Obligations: Calculating and remitting appropriate taxes as required by law

Important: SimpleInvoice is a document creation tool, not accounting software. We do not provide tax advice, legal advice, or guarantee that invoices meet specific regulatory requirements in your jurisdiction. Consult a qualified accountant or legal professional for compliance questions.

5. Data Ownership

Your Data: You retain full ownership of all data you create using SimpleInvoice, including invoices, client information, and settings. Your data is stored locally on your device and is never transmitted to us.

Our Content: We retain ownership of the SimpleInvoice application, including its design, code, and interface. This does not include the content you create.

Data Portability: You may export all your data at any time using the built-in Export feature. You may also delete all data at any time using the Delete All Data function.

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Implied warranties of merchantability or fitness for a particular purpose
Warranties that the Service will be uninterrupted, error-free, or secure
Warranties regarding the accuracy or reliability of any content
Warranties that invoices created meet specific legal requirements

We do not guarantee that the Service will meet your requirements or that any errors will be corrected.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLEINVOICE AND ITS CREATORS SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, data, business opportunities, or goodwill
Damages resulting from data loss due to browser data clearing, device failure, or any other cause
Any tax penalties, legal issues, or financial losses arising from use of invoices created with the Service

This limitation applies regardless of the theory of liability, whether based on warranty, contract, tort, or any other legal theory.

8. Indemnification

You agree to indemnify and hold harmless SimpleInvoice, its creators, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Any content you create using the Service

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page with an updated "Last Updated" date.
